Herbert Smith Freehills Kramer (HSF Kramer) is pleased to be advising Shandong Sinocera Functional Material Co., Ltd. (300285.SZ) (Sinocera) on its proposed A$166m acquisition of SDI Limited (ASX: SDI) (SDI). 

Sinocera recently announced that it has entered into a scheme implementation deed for the acquisition of 100% of SDI by way of a scheme of arrangement.

The acquisition, once implemented, will establish a major global player in dental materials. It combines SDI’s strong innovation capabilities and market presence with Sinocera’s leading and highly regarded functional materials and manufacturing expertise to create a more competitive, globally focused dental materials business.

The HSF Kramer team was led by partners Philippa Stone in Sydney and Hilary Lau in Hong Kong, with Yida Xu of counsel, senior associates Henry Simpson and Selena Tang, solicitor Paul Estephan and trainee solicitor Christie Tsang.
