Andrew J. Citron
Andrew represents diverse parties, including official creditors’ committees, bondholders, investors, secured and unsecured creditors, and debtors, in some of the largest and most complex bankruptcies in the United States. An enterprising lawyer, he handles all aspects of these cases.
Andrew brings a commercial focus and a forward-leaning approach to his work. A go-to resource in nuances of the rules and proceedings in bankruptcy actions and appeals, and their impact on litigation strategy and case architecture, Andrew is adept at advancing sophisticated approaches and solutions that enhance his clients’ strategic position while also aligning with their broader business objectives.
Frequently brought into restructuring matters at an early stage, Andrew provides end-to-end counsel and representation, from assessing claims and liabilities, crafting holistic strategies, negotiating interparty arrangements, restructuring settlements and financing agreements to drafting pleadings and other court filings, handling motions, hearings and mediations, and overseeing and coordinating on depositions and large-scale document discovery. As the most senior associate on many teams, he handles day-to-day case management and communications with clients, colleagues and counsel.
Andrew’s recent bankruptcy work includes representing the Official Committee of Unsecured Creditors in the bankruptcies of Endo International plc, investigating claims arising from pre-petition conduct and bringing litigation on behalf of the General Unsecured Creditor Trust, including breach of fiduciary duty claims against Endo’s former officers and directors. In the court-supervised restructuring of Office Properties Income Trust, he represents the trustee for Office Properties Income Trust’s 9.000% Senior Secured Notes due in 2029 in negotiating the restructuring support agreement with the ad hoc group of noteholders providing for $125 million debtor-in-possession financing that will be syndicated to other holders of the 2029 Notes.
On the debtor side, Andrew represents Eletson Holdings Inc., an international energy transport operator specializing in oil and gas cargoes, in extensive litigation against the company’s former owners for failure to comply with Eletson’s creditor-sponsored Chapter 11 plan, obtaining sanctions on five separate motions and subsequent bankruptcy court approval for more than $1.9 million in fees and expenses for post-effective date legal proceedings with the previous owners.
After law school, Andrew clerked for the Honorable Carla E. Craig, chief judge of the United States Bankruptcy Court in the Eastern District of New York, and for the Honorable Mary Kay Vyskocil of the Southern District of New York, when she served on the Bankruptcy Court in the Southern District of New York.
Before becoming a lawyer, he worked in media and sports, including assisting in the production of tennis coverage for NBC Sports, baseball-related coverage for ESPN, and on-air and game-day coverage for CBS Sports. He also worked for several years in business and legal affairs at Viacom Media Network, focusing on advertising and privacy compliance with Federal Communications Commission standards, the Children’s Television Act and the Children’s Online Privacy Protection Act.

- Office Properties Income Trust – The trustee for Office Properties Income Trust’s 9.000% Senior Secured Notes due 2029 in the Office Properties Income Trust’s Chapter 11 bankruptcy, filed in October 2025.
- Omnicare LLC – The Official Committee of Unsecured Creditors of Omnicare LLC, a subsidiary of CVS Health, in Omnicare’s voluntary, court-supervised Chapter 11 process to address liability related to a recent $1 billion False Claims Act judgment entered against it in the U.S. District Court for the Southern District of New York.
- Eletson Holdings Inc. – Eletson Holdings Inc., an international energy transport operator specializing in oil and gas cargoes, in extensive litigation against the company’s former owners in the U.S. Bankruptcy Court for the Southern District of New York, for failure to comply with Eletson’s creditor-sponsored Chapter 11 plan, resulting in the reorganized company incurring substantial legal fees. We prevailed on five separate sanctions motions and subsequently secured bankruptcy court approval for more than $1.9 million in fee and expense applications for post-effective date legal proceedings with the previous owners.
- Rite Aid Corp. – The Official Committee of Unsecured Creditors of the American drugstore chain, which filed for Chapter 11 protection in 2023 with more than $4 billion in funded debt and facing substantial opioid litigation, conducting the committee’s investigation into claims arising from pre-petition conduct and representing the General Unsecured Creditor Trust litigating a number of cases relating to preserved claims, including one alleging breach of fiduciary duty against directors involved in administering Rite Aid’s opioid monitoring program, one alleging breach of fiduciary duty against directors who paid out large executive compensation bonuses on the eve of bankruptcy, and one alleging a breach of contract and indemnification claims against Walgreens.
- LATAM Airlines – An ad hoc creditor group comprising funds holding more than $5.5 billion in face value of unsecured claims in the Chapter 11 cases of LATAM Airlines Group S.A., Latin America’s largest air carrier, and its affiliated debtors, including in the negotiation and confirmation of a Chapter 11 plan the foundation of which was an $8 billion new-money raise with $3.7 billion backstopped by the members of the ad hoc group.
- Endo International plc —The Official Committee of Unsecured Creditors of the specialty pharmaceutical company, which filed for Chapter 11 bankruptcy in 2022 with more than $8 billion in debt and embroiled in significant opioid litigation. On behalf of the committee, conducted an investigation focused on identifying unencumbered assets and maximizing value for the benefit of unsecured creditors and brought claims in litigation on behalf of the General Unsecured Creditor Trust, including breach of fiduciary duty claims against Endo’s former officers and directors.
- Express Inc. — The Official Committee of Unsecured Creditors of American fashion retailer Express Inc., which filed for Chapter 11 protection in the U.S. Bankruptcy Court for the District of Delaware on April 22, 2024, leading the committee’s investigation into claims arising from pre-petition conduct and transactions and negotiating the preservation of those claims for the benefit of unsecured creditors.
- Instant Brands – Private equity investor Cornell Capital LLC in the Chapter 11 bankruptcy of Instant Brands, the maker of Instant Pot and Pyrex.
- SVB Financial Group – The former chief financial officer of SVB Financial Group in connection with its Chapter 11 bankruptcy case.
- Eiger BioPharmaceuticals, Inc. – Innovatus Capital Partners and affiliated funds, which represented the debtors’ primary secured lender, in the Chapter 11 bankruptcy of Eiger BioPharmaceuticals.
- Cineworld Group PLC – The board of directors as independent counsel in Chapter 11 cases in the United States filed by the company, one of the largest cinema chains in the world.
- A pharmaceutical and consumer products manufacturer – In Chapter 11 bankruptcy proceedings related to a mass tort litigation.*
- CEC Entertainment – CEC Entertainment, the parent company of Chuck E. Cheese and Peter Piper Pizza, in its Chapter 11 bankruptcy to address financial distress caused by the COVID-19 pandemic filed in June 2020 and from which the company emerged in December 2020.*
- Briggs & Stratton – Briggs & Stratton in its Chapter 11 bankruptcy filed in 2020 and the Section 363 sale through which the manufacturer sold substantially all of its assets to KPS Capital Partners for approximately $550 million and to address significant debt and pension obligations.*
- Puerto Rico Debt Restructuring – A monoline insurer of bonds in the Puerto Rico debt restructuring case.*
