Vivian Y. Zhang works on complex securitization and structured finance transactions involving a variety of asset classes.

Vivian assists initial purchasers, lenders, investors and borrowers in transactions across esoteric asset classes including solar, timeshare, home improvement and consumer loans. Her work involves drafting, negotiating and reviewing transaction documents, including offering documents, indentures, purchase agreements, and sale and servicing agreements, as well as legal opinions, ancillary documents and investor presentations. She also manages due diligence and closing processes, drafting and maintaining closing checklists, and leading diligence calls. As the primary associate on many transactions, Vivian provides end-to-end support, coordinating with clients, specialist teams, transaction parties, and opposing and local counsel throughout transactions.

Vivian returned to the firm after participating in the summer associate program in 2023, during which she worked on corporate and finance transactions conducting research and due diligence. Committed to ensuring that summer associates benefit from the program as much as she did, she served as a junior associate mentor for the 2025 summer associates.

During law school, Vivian worked as a legal intern for a New York City-based hedge fund. She also served as a judicial intern for the Hon. E. Grace Park of the Bronx Family Court.
