Herbert Smith Freehills Kramer (HSF Kramer) has advised Australian cloud backup provider Dropsuite on its A$418 million acquisition by Texas-based tech company NinjaOne.
Based in Melbourne, Dropsuite is a cloud software platform enabling organisations to backup, recover, and protect their data. The acquisition will assist NinjaOne, an IT management software provider, in its work to help customers improve business productivity, protect their data, and build IT resilience.
The HSF Kramer team was led by partner Clayton James, with support from senior associates Mia Beagley and Jayne Walker, and solicitor Emma Kuhl.
Clayton James said, “It was fantastic to work with the Dropsuite team on this important cross-border transaction. We look forward to seeing Dropsuite’s offering expand as it integrates with NinjaOne.”
The Scheme Implementation Deed was signed with Dropsuite in January 2025. The transaction, which involved Takeover Panel proceedings, was successfully completed in the second quarter of 2025.
This deal is the latest example of HSF Kramer’s market-leading work in Australian public M&A.
