Herbert Smith Freehills Kramer (HSF Kramer) is pleased to have advised Seven West Media Limited (ASX: SWM) (Seven) on the successful implementation of its combination with Southern Cross Media Group Limited (ASX: SXL) (Southern Cross) by way of scheme of arrangement. This transformational deal was implemented this week, on 7 January 2026.

The implementation of the transaction creates one of Australia's leading integrated media companies, combining Seven's television, streaming and publishing assets with Southern Cross' extensive audio and digital platforms.

The cross-practice HSF Kramer team has worked with Seven to obtain approvals from the Australian Competition and Consumer Commission and the Australian Communications and Media Authority for the transaction.

The combination was widely supported by the market and Seven shareholders, with over 99% Seven shares voted in favour of the transaction at the Scheme Meeting.

The HSF Kramer team was led by Chair and Senior Partner Rebecca Maslen-Stannage and partner Linda Evans, supported by senior associates Samuel Moran and Elizabeth Hersey, and solicitors Alice Barber and Caitlin Yan.

Rebecca Maslen-Stannage said, "We are delighted to have worked alongside the excellent Seven team in this transformational deal following our long-standing relationship. Their highly practical and enthusiastic approach make them a great team to work with, and we are proud to have supported them in this pivotal moment for Australian media.”

Barrenjoey Capital Partners acted as financial advisor to Seven.
