Regulations have been made under the Economic Crime and Corporate Transparency Act 2023 (ECCTA) that expand Companies House's power to annotate the register. These follow regulations that enhanced Companies House's powers to annotate the register in relation to misleading or confusing material which were introduced under the ECCTA in March 2024 (see our blog post here for more details on the March 2024 ECCTA changes).

Under the Companies and Limited Liability Partnerships (Annotation) Regulations 2025 with effect from 9 June 2025, Companies House will be able to annotate the register where:

  • it becomes aware that a director of a company is subject to director disqualification sanctions under the Company Directors Disqualification Act 1986; 
  • it has served notice on a person in exercise of its power to require information under section 1092A of the Companies Act 2006 (whether a document has been delivered) and the recipient of the notice has not fully complied with the notice; or
  • it has taken, or is intending to take, steps to strike off a company registered on a false basis (under its powers in section 1002A of the Companies Act 2006 which came into force on 18 March 2025).

The Regulations also introduce new annotation powers for Companies House in relation to persons with significant control (PSCs) (once the new duty to notify Companies House of confirmed PSCs comes into force) and extend these new powers in relation LLPs (in modified form).
