Darina Delappe focuses her practice on advising fund managers across all stages of a fund's lifecycle, including structuring, formation, and ongoing management of domestic and international investment funds.

Her practice spans a broad range of strategies, including evergreen funds, private equity funds, hybrid funds, and funds of funds. Darina has particular depth in advising on the full spectrum of structural and operational issues that arise in connection with fund formation, including negotiating fund terms with anchor investors, drafting and negotiating limited partnership agreements and other governing documents, and advising on fee arrangements.

Darina brings extensive experience in co-investments, counseling both sponsors and institutional investors on complex transaction structures. She advises sponsors on the establishment of co-investment programs and the negotiation of co-investment rights, and works closely with institutional investors in evaluating and structuring their participation in co-investment opportunities.

Darina has significant experience with secondary transactions, including GP-led secondaries and the sale and transfer of fund interests, as well as seed investments, where she advises both emerging managers and seed capital providers on the negotiation of economic and governance arrangements. Darina also counsels clients on the formation and organization of joint ventures, including the negotiation of joint venture agreements and related governance structures.

She also regularly advises clients on a wide range of compliance matters, including ongoing regulatory obligations under the Investment Advisers Act.
