Herbert Smith Freehills Kramer (HSF Kramer) is pleased to be advising Ampol on its $1.1 billion proposed acquisition of EG Australia under a share purchase agreement.
Under the terms of the agreement, Ampol will acquire approximately 500 Ampol-branded company owned and operated sites. The transaction will also accelerate Ampol’s retail growth strategy through an expanded Ampol Foodary brand and a value-oriented U-GO branded offer.
The acquisition consideration (adjusted for estimated upfront working capital release) is approximately $800 million cash and Ampol shares valued at $250 million at the time of signing, subject to escrow arrangements. The SPA is subject to certain conditions, including ACCC clearance.
The HSF Kramer team is being led by partners Andrew Rich, Amelia Morgan, Linda Evans, Tess Mierendorff, with support from partners Patrick Clark and Niresha Mudalige, and senior associates, Mia Beagley, Simone Gould, Nini Lu, Carolyn Harris, and Jordana Cawood, and executive counsel, Daniel Johnson.

The transaction is targeted for completion in the middle of 2026.
