Hannah is a senior associate in our corporate division, specialising in advising listed and privately-held companies on the full spectrum of corporate and governance matters. 

As a member of the firm’s dedicated Corporate Governance Advisory Team, Hannah advises both listed and private company clients on a wide range of corporate governance and company law matters, including continuing obligations under the UK listing regime, corporate reporting, intragroup reorganisations, returns of value to shareholders including share buybacks, shareholder meetings and disclosure issues. Hannah also conducts training for boards and in-house teams on legal and regulatory requirements and developments, as well as writing on corporate governance topics.

  • advising a large number of FTSE 350 and AIM-listed companies, including Airtel Africa, Associated British Foods, Berkeley Group, bp, British American Tobacco, Jet2, WHSmith and Workspace, on a range of corporate governance issues including corporate reporting, shareholder meetings, share capital management and continuing obligations under the UK listing regime
  • advising FTSE 100 companies Airtel Africa, Associated British Foods and Pearson on their share buyback programmes
  • conducting a comprehensive governance review of a FTSE 250 company, including benchmarking against UK best practice
  • advising a US multinational on English company law matters, including share capital issues and corporate structuring, for its UK subsidiaries
  • advising a FTSE 250 listed investment trust on its share buyback programme
  • advising a US-listed group on its UK subsidiary disclosure obligations and coordinating a global review of disclosure regimes
  • preparing onboarding and training materials for listed and non-listed company directors
  • working pro bono with anti-discrimination charity Kick It Out to redesign its governance framework

Background

Hannah read Classics at Merton College, Oxford, graduating with a First Class degree. She was previously a Corporate and M&A associate at another leading international law firm in London, where she advised corporates and private equity funds on a broad range of transactions.
