Jason M. Moff represents private and public companies and individuals in complex civil litigation in federal and state courts, and in sensitive proceedings before regulatory and administrative agencies.

A versatile trial lawyer and accomplished advocate, Jason represents corporations, boards, committees and individuals in virtually every major area of commercial and civil litigation—securities and shareholder class actions and derivative suits, commercial tort claims and contract disputes, claims investigations and adversary proceedings in bankruptcy matters, IP infringement and licensing litigation, false advertising claims, and a wide variety of other complex commercial disputes. He counsels major corporations and individuals in criminal and regulatory investigations and enforcement actions by federal agencies including the Securities and Exchange Commission (SEC), and before industry self-regulatory bodies. His clients span diverse industries, sectors and businesses, from banking, financial services and cryptocurrency to technology, media and communications, energy, pharmaceuticals, consumer goods, and health and wellness products.

Among his notable representations, Jason defended at trial a Fortune 500 satellite radio provider in a patent infringement and licensing suit. As co-lead counsel, he defended a major mortgage servicer in several extensive securities class action and opt-out lawsuits, as well as in a series of shareholder demands, books and records requests, and shareholder derivative litigation. Jason has taken several high-profile cases to trial, including a four-week criminal insider-trading trial, a two-and-a-half month criminal market manipulation trial, and a contract dispute on behalf of a multinational Fortune 100 corporation contesting the acquisition of a multibillion dollar company.  He represented Bear Stearns/JP Morgan Chase, along with a number of officers and directors, in numerous civil actions and investigations arising out of the 2008 financial crisis, and Bear Stearns Asset Management in the pre-trial dismissal of a $3 billion federal lawsuit brought by Bank of America relating to CDOs.

Jason conducted an investigation concerning the approval of a multibillion-dollar acquisition on behalf of the special litigation committee of a Fortune 100 tech company; handled investigatory matters and contract delivery disputes on behalf of creditors’ committees in bankruptcy proceedings in the energy sector; represented a major cryptocurrency company in a significant adversary proceeding in bankruptcy court; and appeared on behalf of Fortune 100 clients in false advertising proceedings before the National Advertising Division, the self-regulatory adjudicative body for the advertising industry.

Jason actively participates in pro bono matters. He has represented many amici in marriage equality and LGBTQ rights cases decided by the U.S. Supreme Court and federal circuits, including Windsor, Perry, Obergefell and numerous others. With co-counsel at the Center for Reproductive Rights and Planned Parenthood, he tried a lawsuit in federal court in Tennessee challenging a state law that obstructed women’s abortion access. He also represented Constance McMillen, a Mississippi teenager whose high school denied her the right to bring her girlfriend to the prom and who was subsequently featured in Glamour magazine and other national publications. He has represented numerous young clients seeking to dismiss removal proceedings and obtain immigration status after fleeing oppressive circumstances in their home countries.

Jason received the New York State Bar Association President’s Pro Bono Service Award in 2021, and was honored in 2022 with the LGBT Bar Association of New York Foundation Community Excellence Award.  He has also been selected multiple times as a Rising Star in New York by Super Lawyers.

  • Successfully represented Sirius XM Radio Inc. in a patent infringement suit regarding certain technology related to satellite communication networks.

  • Represented Ocwen Financial Corporation in major SEC investigations and litigation demanded by and arising out of various shareholder demand letters, and books and records requests, as well as serving as co-lead counsel defending the institution and certain of its board members in several major securities class action and opt-out lawsuits and appeals.

  • Represented JPMorgan’s Bear Stearns Asset Management Inc., along with a number of its current and former officers and directors, in multiple class and derivative suits, and other civil actions and investigations arising out of the 2008 financial crisis. Representation included first bank-against-bank litigation, in which Kramer Levin defeated federal claims brought by Bank of America alleging $3 billion in damages.

  • Represented a major health products corporation in a multibillion-dollar trial involving breach of a merger agreement.

  • Represented and performed investigation for the special litigation committee of a Fortune 100 company in connection with a shareholder’s derivative challenge in Delaware Chancery Court to a multibillion-dollar acquisition that survived a motion to dismiss.

  • Represented a hedge fund portfolio manager in a four-week criminal insider-trading trial.

  • Represented a multinational public energy and oil corporation in a challenge seeking injunction against prospective corporate acquisition.

  • Represented a creditors’ committee in connection with the bankruptcy proceeding of a multinational corporation.

  • With co-counsel at the Center for Reproductive Rights and Planned Parenthood Center for Reproductive Rights and Planned Parenthood, tried claims in federal court in Tennessee challenging unconstitutional impediments to women’s right to abortion access.

  • Represented a Fortune 100 corporation in extra-judicial challenges to a competitor’s contact lens advertising.

  • Represented a joint venturer in a lawsuit concerning the development of a major drug intended for psoriasis.
