Justina Zhang
Justina Zhang is a TMT partner at our joint operation firm. Justina 's practice focuses on the technology sector and advises technology companies at various stages of global expansion on global corporate structuring and cross border financing.
She has particular strengths in designing forward looking global structures across major jurisdictions, providing international structuring and corporate law solutions throughout the full corporate lifecycle to support private financings, cross border mergers and acquisitions, global business expansion, and capital markets transactions.
She advises high growth technology companies on venture capital and private equity financings, cross border mergers and acquisitions, corporate restructurings, and domestic and overseas listings. Drawing on her extensive multi jurisdictional transaction and structuring experience, Justina coordinates legal requirements across multiple jurisdictions within a transaction or structure. She strategically applies international holding structures, including Cayman Islands and Delaware structures, and combines corporate and regulatory regimes in the United States, Singapore, Hong Kong, and other major jurisdictions to design structures that balance investor protections with founder led governance and support long term sustainability.
From a transaction execution perspective, Justina provides high growth technology companies with full lifecycle legal support. She is deeply involved in financing term negotiations, the drafting and negotiation of transaction documents (including share transfer agreements), legal due diligence coordination, as well as closing processes and post closing compliance. She also advises multinational clients on data regulation, marketing regulation, and general corporate and commercial matters.
In the area of regulatory compliance, Justina integrates regulatory requirements directly into corporate and structuring design, with a particular focus on cross border data transfers, privacy and data security, artificial intelligence related regulatory requirements, as well as export controls, foreign investment restrictions, and national security review regimes that materially impact global structures.
Justina works closely with startups and founders as startup and founder side counsel, maintaining long term and close relationships with founders and management teams. She supports clients from inception through financings and major transaction milestones, and a number of the companies she has advised have successfully completed overseas listings or achieved exits through mergers and acquisitions.
