Herbert Smith Freehills Kramer has advised Appian Capital Advisory Limited (“Appian”), a leading investment adviser focused on the mining sector, on its acquisition of a 95% interest in Craton Mining and Exploration (Proprietary) Limited, the company operating the Omitiomire copper project located near Windhoek, Namibia.
The transaction is a part of Appian’s strategy to strengthen its portfolio of strategic mining assets amid sustained growth in global demand for the metals essential to the energy transition. Copper is a critical resource for the development of electrical infrastructure, energy networks and low-carbon technologies.
Located in Namibia, the Omitiomire project represents a high-potential development asset within a jurisdiction recognised for the stability of its mining industry and its attractiveness to international investors. Through this acquisition, Appian further consolidates its position in the critical minerals sector while supporting the development of a strategically important regional project.
Herbert Smith Freehills Kramer acted as lead counsel to Appian on all transactional aspects of the acquisition. The firm led the drafting and negotiation of the transaction documentation, including the sale and purchase agreement, and advised on matters through signing and completion, including the warranty and indemnity insurance.
The transaction involved a number of strategic and cross-border considerations, requiring close coordination among the various advisers and stakeholders involved.
