Laurence Vincent
Laurence Vincent is a Partner in the Corporate department in Paris.
Laurence advises and assists listed and unlisted companies on a wide variety of public and private domestic and cross-border mergers and acquisitions, joint ventures, capital markets transactions and on corporate governance matters and shareholders activism.
Laurence has developed extensive expertise in the corporate governance of listed companies and family groups, including CSR reporting (DPEF / CSRD Sustainability Report, Taxonomy, Carbon Footprint, Duty of Care) and governance (composition, skills and training of the Board and CSR Committee, links with the Audit Committee, internal corporate documentation (internal regulations)).
She took the initiative and co-wrote the first practical guide published by a law firm on the inclusion of CSR issues within the corporate governance of listed companies. She has been teaching at the Nancy University of Law since 2012.
Laurence Vincent was distinguished as "Notable Practitioner" by Chambers France 2026 for the first edition of the category "Environmental, Social & Governance (ESG)". Chambers 2026 stated: "Laurence Vincent is highly regarded for her experience in corporate governance and ESG topics, including sustainability reporting, CSRD and shareholders rights." Décideurs Magazine also ranked her among the 30 business lawyers of the year in the ranking "La Relève 2021" ("Laurence Vincent, appellation corporate contrôlée", Décideurs Magazine, 2021).

- governance related matters for several years (compliance with legal rules and rules issued from corporate governance code (AFEP-MEDEF), compensation of executive officers, composition of the Board of directors, preparation and/or review of the registration document and preparation of the general meeting (report of the Board of directors to the general meeting and resolutions to be submitted to the general meeting)

- Holding d'Infrastructures Gazières, a joint venture between the CDC group and CNP Assurances, on the acquisition of 100% of the share capital of Elengy (LNG terminal operator) by GRT Gaz (European leader in the transport of natural gas), two subsidiaries of the ENGIE group
- Futuren, an independent producer of electricity from onshore wind energy, as a target of a public tender offer initiated by EDF Energies Nouvelles

Background
Laurence graduated from the Nancy University of Law with a Master's in business law (DJCE) and another Master's in European business law.
Of Czech mother tongue, Laurence also speaks French, English and German.
